Children Under the Age of 13

Kiwi's services are not directed to, nor do we knowingly collect personal information from, children under the age of 13. In compliance with the Children's Online Privacy Protection Act (COPPA) and other applicable laws, we do not knowingly allow children under 13 to use our Services, nor do we collect personal information from them. If we learn that we have collected personal information from a child under the age of 13 without parental consent, we will take steps to delete that information as quickly as possible.

Residency

Our Services are exclusively designed for and directed to users who are legal residents of the United States and specifically within states or territories where Kiwi is licensed and authorized to offer its services. We do not offer services to individuals residing outside of these specific areas or to anyone not residing in the United States. As such, our Services should not be accessed or used by individuals outside of the authorized states or territories within the United States or from any location outside the United States. Accessing our Services from locations where we are not authorized to operate is strictly prohibited.

Account Registration and Security

Account Creation

Your account will be secured through SMS one-time password (OTP), which uses your mobile device and phone number as a key component in the authentication process.

SMS One-Time Password (OTP)

As a primary security measure, Kiwi requires OTP for account access. This method sends a unique code to your registered mobile device, which must be entered along with your identifiable information to access your account. It is imperative to ensure that your mobile device is secured and that the number associated with OTP is kept up-to-date.

Device Security

Registered Mobile Device

  • Responsibility: You are responsible for the security of your mobile device registered for OTP. Loss, theft, or unauthorized access to your mobile device could compromise your account security.
  • Immediate Notification: Notify Kiwi immediately if your registered device is lost, stolen, or if you suspect any unauthorized use of your account.

Preferred Devices

  • Management: If you have associated preferred devices to your account for easier access, you must manage these devices' security vigilantly. Do not share access to these devices with others.
  • Physical Control: Maintain physical control over your registered mobile device and any preferred devices to prevent unauthorized use.

Liability for Unauthorized Access

Kiwi employs stringent security measures to safeguard your account. However, the security of your account also hinges on your vigilant management of your registered mobile device and any preferred devices. Kiwi cannot be held liable for losses or damages arising from unauthorized access to your account due to compromised device security.

You retain all rights in, and are solely responsible for, the User-Generated Content you post to the Services. However, by submitting User-Generated Content to Kiwi, you hereby grant Kiwi a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User-Generated Content throughout the world in any media.

Limitation of Liability

IN NO EVENT SHALL KIWI FINANCIAL INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICE OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICE OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. User Acknowledgment

You acknowledge and agree that Kiwi has made the services available to you and entered into these Terms in reliance upon the warranty disclaimers and limitations of liability set forth herein, that they reflect a reasonable and fair allocation of risk between you and Kiwi, and that the warranty disclaimers and limitations of liability set forth herein form an essential basis of the bargain between you and Kiwi.

Your Responsibility

It is your responsibility to ensure that your use of the Kiwi services complies with all applicable laws and regulations, and you assume all risks associated with your use of the services, including risks to your computer, software, or data.

Indemnification

User Agreement to Indemnify

You agree to indemnify, defend, and hold harmless Kiwi, its parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Use, or your violation of any law or the rights of a third-party.

Scope of Indemnification

This indemnification obligation will survive the termination of these Terms of Use and your use of the Services. It extends to issues arising out of your use of the Services, any user content you post, submit, transmit, or make available through the Services, your violation of these Terms, or your violation of any rights of another.

Defense and Cooperation

In the event of a claim that is subject to indemnification under this section, Kiwi may, at its discretion, assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall cooperate as fully as reasonably required in the defense of any claim. You agree not to settle any matter without the prior written consent of Kiwi.

Notice of Claim

Kiwi will provide you with prompt notice of any such claim, suit, or proceeding for which indemnification is sought. However, the failure to provide such notice will not relieve you of your indemnification obligations, except to the extent that you are actually prejudiced by such failure.

Limitations

This indemnification covers liability and expenses arising from claims or damages due to your negligence, fraud, violation of the Terms, or infringement of intellectual property or other rights.

Governing Law and Jurisdiction

Governing Law

These Terms of Use and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without giving effect to any principles of conflicts of law.

Jurisdiction

You agree that any action at law or in equity arising out of or relating to these Terms or the use of our Services shall be filed only in the courts located in the Commonwealth of Puerto Rico, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action, or proceeding arising out of these Terms.

Dispute Resolution

Before initiating any formal legal action, we strongly encourage you to contact us directly to seek a resolution. Kiwi is open to considering reasonable requests to resolve disputes through alternative dispute resolution procedures, such as mediation or arbitration, as preferable alternatives to litigation.

International Use

While Kiwi operates under the laws of Puerto Rico, we recognize that our Services may be accessed from locations outside Puerto Rico. Users accessing the Services from other jurisdictions do so of their own initiative and are responsible for compliance with local laws, to the extent local laws are applicable.

Limitation on Claims

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. This one-year period shall begin on the date when the claim or cause of action first could be filed.

Arbitration

Jury Trial Waiver and Arbitration Agreement

Background and Scope

What is Arbitration?

Arbitration is an alternative to court where a third party ("TPA") resolves disputes in a hearing. By agreeing to this clause, you and related third parties waive the right to go to court and the right to a jury trial.

Is it Different from Court and Jury Trials?

Yes, the arbitration hearing is private and less formal than court. TPAs may limit pre-hearing fact finding ("discovery"). The decision is final and courts rarely overturn TPA decisions.

Who Does the Clause Cover?

This clause governs all parties involved, including their heirs, successors, assigns, and any third parties related to any dispute.

Which Disputes are Covered?

All disputes are covered. This includes any claims related to your application, agreements with us, past agreements, collections, privacy, customer information, validity, and scope of this clause, and whether to arbitrate.

Are You Waiving Rights?

Yes, by agreeing to this clause, you waive your rights to:

  1. Have juries resolve disputes.
  2. Have courts, other than small-claims courts, resolve disputes.
  3. Serve as a private attorney general or in a representative capacity.
  4. Be part of a class action.

Are You Waiving Class Action Rights?

Yes, class actions are not allowed. You waive the right to participate in a class action, either as a representative or member. Only individual arbitration or small-claims courts will resolve disputes.

What Law Applies?

The Federal Arbitration Act (FAA) governs this clause. If a court finds the FAA doesn’t apply and the finding can’t be appealed, then your state’s law governs. The TPA must apply substantive law consistent with the FAA, including statutes of limitation and privilege claims.

Can the Parties Try to Solve Disputes First?

Yes, disputes can be addressed by contacting us at 787-490-2004. If unresolved, you must mail us a written notice within 100 days of the dispute ("Dispute Notice"). We will attempt to resolve the dispute and provide a written offer ("Offer"). If unresolved, either party may start arbitration.

Can Small-Claims Court Solve Some Disputes?

Yes, disputes can be resolved in small-claims court if it has the power to hear the dispute. Otherwise, arbitration will handle all disputes that small-claims court cannot hear.

Do Other Options Exist?

Yes, both parties may use lawful self-help remedies and seek equitable individual relief in furtherance of the agreement to arbitrate.

Will This Clause Continue to Govern?
